Welcome to EVERGREEN SOLUTIONS. These Terms and Conditions (“Terms”) govern your access to and use of the services provided by EVERGREEN SOLUTIONS LLC (“Company,” “we,” “our,” or “us”), located at 121 Washington Ave N 2nd Floor Suite U2-12, Minneapolis, Minnesota 55401. By accessing or using our services, you agree to be bound by these Terms.

1. Services Provided

EVERGREEN SOLUTIONS LLC provides consulting services that may include, but are not limited to, business strategy, operations, technology, automation, and other professional advisory services. The scope of each engagement will be outlined in a separate proposal or agreement.

2. Client Responsibilities

Clients agree to provide accurate and complete information necessary for the successful delivery of our services. Delays caused by a client’s failure to provide such information or fulfill responsibilities may result in extended timelines or additional charges.

3. Fees and Payment

Fees for services will be outlined in a written agreement or invoice. All fees are due upon receipt unless otherwise specified. Late payments may incur a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.

4. Confidentiality

Both parties agree to maintain the confidentiality of all confidential information disclosed during the course of engagement. Confidential information shall not be disclosed to any third party without prior written consent unless required by law.

5. Intellectual Property

All content, materials, and deliverables provided by EVERGREEN SOLUTIONS LLC remain the property of the Company unless explicitly transferred to the client in writing. Clients may not reproduce, distribute, or modify any materials without written permission.

6. Limitation of Liability

In no event shall EVERGREEN SOLUTIONS LLC be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

7. Termination

Either party may terminate services with written notice. Upon termination, the client will be responsible for payment for all work completed up to the date of termination.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

9. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter informally. If informal resolution is unsuccessful, the dispute shall be resolved through binding arbitration in Minnesota.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website and take effect upon posting. Continued use of our services after such changes constitutes acceptance of the new Terms.
